dc.description.abstract | No partnership exists with a single person. A partnership is a relationship which if established governs the rights and duties between the parties and their relationship with those transacting with the parties. A partnership is said to exist when two or more people have agreed either expressly or impliedly to share in the profits and control of a business. The agreement maybe I written oral or deduced from the conduct of the parties. Section 5-20 of Partnership Act and order 2 of the civil procedure rules. In partnership the general principle of the law of agency governs the liability of partnerships for the acts of the partner. Under Section 6 an act or instrument relating to the business of the firm and done or executed in the name of the firm or in any other manner intending to bind the form by the firm by a person binding the firm whether a partner or not is binding on the firm and all the partners. In contracting the firm’s liability, a third party who is not a member of the form of one who is not aware of the internal regulation imposed on individual partner can approve liability on the firm and other partner. Under Section 6 of the Partnership Act, every partner is an agent of the firm and a 3rd party is free to enter in to transactions with any partner.
